These Terms of Service ("Terms") constitute a legally binding agreement between you and Livato LLC ("Livato," "we," "us," or "our"), a Utah limited liability company, concerning your access to and use of the Livato website at getlivato.com and the Livato smart home platform and related services (collectively, the "Services").
By accessing or using our Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
Livato offers the following subscription plans:
Paid subscriptions are billed in advance on a monthly basis. By providing payment information, you authorise us to charge your payment method for all fees associated with your subscription. All payments are processed securely through our third-party payment processor.
We may offer free trial periods or promotional pricing at our discretion. Any promotional pricing locked in at the time of signup will be honoured for the duration of your continuous active subscription, unless otherwise stated.
You may cancel your subscription at any time. Your access to paid features will continue until the end of your current billing period. We do not offer refunds for partial billing periods. To cancel, contact us at hello@getlivato.com or manage your subscription through your account settings.
We reserve the right to change subscription prices upon 30 days' notice. Continued use of paid Services after the effective date of a price change constitutes your acceptance of the new pricing.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services to:
Livato's AI features are powered by Claude, an AI assistant developed by Anthropic. By using AI features, you acknowledge that:
The Services allow you to connect third-party smart home devices and platforms (such as Philips Hue, Nest, Ring, Amazon Alexa, Google Home, and others). Your use of these integrations is also subject to the terms and privacy policies of those third parties. We are not responsible for the actions, omissions, or policies of third-party platforms or devices.
You are solely responsible for the automations you create and the commands you issue through Livato. We strongly recommend testing automations thoroughly before enabling them. Livato LLC is not liable for any damage, injury, security breach, or loss resulting from the operation of smart home devices controlled through our platform.
The Services and all content, features, and functionality thereof — including but not limited to all text, graphics, logos, icons, images, software, and the selection and arrangement thereof — are owned by Livato LLC or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use, subject to these Terms.
You retain ownership of any content you create within the Services (such as automation names, room configurations, and custom settings). By using the Services, you grant us a limited licence to use this content as necessary to provide the Services to you.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT (i) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (ii) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (iii) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (iv) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.
SMART HOME DEVICE CONTROL INVOLVES PHYSICAL SYSTEMS IN YOUR HOME. YOU ASSUME ALL RISK ASSOCIATED WITH THE OPERATION OF DEVICES CONNECTED THROUGH LIVATO. THIS INCLUDES BUT IS NOT LIMITED TO LOCKS, SECURITY SYSTEMS, LIGHTING, HVAC SYSTEMS, AND WATER MANAGEMENT SYSTEMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIVATO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO LIVATO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold harmless Livato LLC, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to the operation of smart home devices through our platform.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be subject to informal resolution. You agree to contact us at hello@getlivato.com and attempt to resolve any dispute informally for at least 30 days before initiating any formal proceedings.
If informal resolution fails, any dispute shall be resolved by binding arbitration in Hurricane, Utah, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Services prior to the change becoming effective. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes.
It is your responsibility to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Services.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by contacting us at hello@getlivato.com. Upon termination, we will retain your data for a period of 30 days before deletion, except where we are required by law to retain certain information for longer.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Livato LLC regarding the Services and supersede all prior agreements.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms freely without restriction.
